Terms and licence

1. Who we are

Keyloft is made and sold by Keyloft Audio, the trading name of Isaac Tetteh, a sole proprietor based in the United States ("Keyloft Audio", "we", "us"). When you buy or use Keyloft, your agreement is with us. You can reach us at support@keyloftaudio.com.

2. Agreeing to these terms

These terms cover the Keyloft software (the Keyloft app, the Audio Unit and the VST3 plug-ins, and their updates), your licence key, and this website. By buying, installing or using Keyloft, or by continuing to use this website, you agree to them. If you don't agree, please don't use Keyloft; if you've bought it, you can ask for a refund (section 10).

3. Buying Keyloft

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.

Payment, sales tax and VAT, invoices and receipts are handled by Paddle under Paddle's buyer terms. Keyloft is a one-time purchase: there's no subscription and nothing renews. Prices are shown in US dollars; Paddle may show your local currency and adds tax where it applies. Launch prices apply for the limited time shown on this website; after that, the regular prices apply.

4. Your licence

Keyloft is licensed, not sold. When you buy it, you get a licence key, and we give you a non-exclusive, non-transferable licence to install and use Keyloft:

• on up to 3 Macs at a time that you own or control;
• for any purpose, including paid performances, services, recordings, broadcasts and teaching.

There are two editions:

• Keyloft App licenses the Keyloft app.
• Keyloft Complete licenses the Keyloft app and the Audio Unit and VST3 plug-ins.

You can upgrade a Keyloft App key to Keyloft Complete at any time, at the upgrade price shown on this website. It stays the same key, on the same Macs.

Keyloft goes online once on each Mac to activate your key. After that it plays without the internet. You can move your licence to another Mac at any time with Settings › About › Deactivate this Mac. Your licence lasts as long as you keep to these terms.

5. What you may not do

• Share or publish your licence key, or use it on more Macs than your licence allows.
• Sell, rent, lend or sublicense Keyloft or your key.
• Get around, disable or tamper with Keyloft's licence check.
• Copy, modify, decompile or reverse engineer Keyloft, except where the law allows it.
• Use Keyloft or this website unlawfully, for fraud or spam, or to infringe anyone's intellectual property.
• Interfere with the security of our services: no malware, probing, scraping or overloading of this website or the licence service.

6. Plug-ins from other companies

Keyloft opens instruments and effects made by other companies. They're covered by their makers' own licences. We're not responsible for how they work, what they cost, or whether they keep working with Keyloft.

7. Keyloft's own sounds

Keyloft's built-in drone pads, effects and click are ours. Use them freely in your performances and recordings, but don't resell or redistribute them as sounds, samples or presets.

8. Who owns what

Keyloft, its code, sounds and design, and the Keyloft name and logo belong to Keyloft Audio. These terms give you no rights in them beyond the licence in section 4. Keyloft includes open-source and third-party components, credited in Settings › About, which stay under their own licences.

9. Updates

Updates to Keyloft 1 are free for every licence holder. A future major version may be a paid upgrade; your Keyloft 1 keeps working either way. Keyloft tells you when an update is ready, and nothing installs by itself.

10. Refunds

You can have a full refund within 14 days of buying, for any reason. See the refund policy. A refunded licence key stops working. A refunded upgrade takes the key back to Keyloft App.

11. Switching a licence off

We may switch off a licence key, or stop providing our services to you, if:

• it was refunded, charged back or not paid for;
• it was bought fraudulently, or using it is a security or fraud risk;
• it has been shared or published, or used on more Macs than allowed;
• you seriously or repeatedly break these terms.

Where it's reasonable, we'll email you first and give you a chance to put things right. You can stop using Keyloft whenever you like.

12. No guarantee

We work hard to make Keyloft reliable on stage. But Keyloft and our services are provided "as is" and "as available", without warranties of any kind, to the extent the law allows. We don't promise they'll be uninterrupted or error-free, or that Keyloft will work with every plug-in, audio interface or host. Please test your setup before you play it live.

13. Limit of liability

To the extent the law allows, we aren't liable for indirect or consequential losses, including lost data, lost income or a disrupted performance, and our total liability to you is limited to what you paid for Keyloft. Nothing in these terms limits liability that the law doesn't allow to be limited, or your rights as a consumer.

14. Changes to these terms

We may update these terms, and the date at the top will change. If a change matters, we'll say so here and email buyers. The terms you agreed to when you bought Keyloft keep applying to your licence unless you accept the new ones.
